1. About Primelex

Primelex Solicitors & Advocates ("Primelex", "we", "us", or "our") is a legally registered entity operating from Bengaluru, Karnataka, India. Primelex functions as a legal facilitation and case management platform for business debt recovery. Primelex is not a debt collection agency and does not operate as a recovery agent under the RBI guidelines. All recovery activities are conducted through lawful legal channels.

2. Definitions

• "Client" means the individual, proprietor, partnership, LLP, company, or any other legal entity that registers a case with Primelex.
• "Debtor" means the individual or entity from whom the Client seeks to recover outstanding dues.
• "Services" means pre-litigation recovery, legal notice drafting, litigation management, and end-to-end debt recovery facilitation offered by Primelex.
• "Registration Fee" means the 2% administrative charge payable at the time of case registration.
• "Recovery Fee" means the professional fee payable only upon successful recovery of the outstanding amount.
• "Platform" means the website, forms, and digital communication channels operated by Primelex.

3. Eligibility

To avail our services, you must:

• Be at least 18 years of age.
• Be legally authorized to represent the business entity or be acting on behalf of the registered entity.
• Provide accurate, complete, and truthful information about the outstanding debt and the debtor.
• Hold a legally enforceable claim against the debtor — not barred by limitation under applicable law.

4. Nature of Services

Primelex provides legal facilitation services. The Client acknowledges that:

• Primelex acts as a legal facilitation and case management platform and does not guarantee recovery of any amount.
• The outcome of legal proceedings depends on multiple factors beyond Primelex's control, including debtor cooperation, judicial proceedings, and enforceability of claims.
• Primelex will act in the best interest of the Client within the bounds of applicable law.
• Advocates empanelled by Primelex are independent professionals. Primelex facilitates engagement but is not directly liable for any professional negligence by such advocates.

5. Fee Structure

5.1 Case Registration Fee

A non-refundable Case Registration Fee of 2% of the total outstanding debt amount is payable at the time of registration. This fee covers administrative processing, initial case assessment, document review, and case onboarding costs.

5.2 Recovery Fee

A professional Recovery Fee shall be payable upon successful recovery of the outstanding amount. The percentage and structure of the Recovery Fee shall be communicated to the Client at the time of case acceptance and shall be documented in the engagement letter.

5.3 Renewal Fee

A Renewal Fee of 1% of the outstanding debt amount may be applicable if the case requires continuation of services beyond the initial engagement period.

5.4 Legal Expenses

Legal expenses including court fees, stamp duty, process fees, travel costs, and other statutory charges are not covered by the Registration Fee or Recovery Fee and shall be borne exclusively by the Client as and when required.

6. Client Obligations

The Client agrees to:

• Provide complete and accurate information about the outstanding debt and the debtor.
• Submit all required documents in a timely manner.
• Cooperate with Primelex and the assigned advocate throughout the recovery process.
• Promptly pay all legal expenses, court fees, and other statutory charges as required.
• Not pursue parallel recovery proceedings for the same debt without informing Primelex.
• Notify Primelex immediately if the debtor makes any direct payment or settlement approach.
• Not communicate directly with the opposing party in matters under active legal proceedings without Primelex's prior knowledge.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding all information shared during the course of the engagement. Primelex shall not disclose any Client information to third parties except:

• As required for the purpose of recovery proceedings (e.g., to empanelled advocates, courts).
• As required by applicable law or court order.
• With the Client's prior written consent.

8. Limitation of Liability

Primelex's liability in connection with any services provided shall be limited to the amount of Registration Fee paid by the Client. Primelex shall not be liable for:

• Any indirect, incidental, special, or consequential damages.
• Failure to recover the outstanding amount due to debtor insolvency, asset concealment, or other factors beyond Primelex's control.
• Any loss arising from delays in judicial proceedings or enforcement of decrees.
• Actions or omissions of independent advocates empanelled by Primelex.

9. Intellectual Property

All content, designs, trademarks, and materials on this Platform are the intellectual property of Primelex Solicitors & Advocates. Unauthorised reproduction or use is prohibited.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.

11. Amendments

Primelex reserves the right to modify these Terms at any time. Changes will be effective upon posting on this website. Continued use of our services after such changes constitutes your acceptance of the revised Terms.
